HumaTek Terms of Service

Introduction

These Terms of Service (“Terms”) apply to your use of and access to HumaTek Holdings Inc. (“HumaTek”, “we”, “us” or “our”) websites located at https://humatek.io/, https://www.huma-club.org, and https://www.humacoin.com, (“Websites”).  When you access or visit our Websites, you are agreeing to these Terms, so please carefully read the Terms and our Privacy Policy , incorporated herein, as these documents contain important information regarding your legal rights and obligations.

THESE TERMS ARE A LEGAL AGREEMENT BETWEEN YOU AND US WHICH GOVERNS YOUR USE OF THE WEBSITES. YOUR USE OF THE WEBSITES CONSTITUTES YOUR ACCEPTANCE OF AND AGREEMENT TO ALL OF THE TERMS AND CONDITIONS IN THESE TERMS AND THE PRIVACY POLICY INCORPORATED BY REFERENCE HEREIN. YOU REPRESENT YOU ARE AT LEAST 18 YEARS OF AGE OR OLDER. IF YOU OBJECT TO ANYTHING IN THESE TERMS OR DO NOT AGREE, YOU ARE NOT PERMITTED TO USE THE WEBSITES AND PLEASE CONTINUE FURTHER USE.

Body of the Agreement

  1. Authority. If you accept these Terms and use the Websites on behalf of a company, organization, or other legal entity, you represent and warrant to us you have full power and authority to do so.
  2. Effective Date. These Terms are effective as of the date you first access or use the Websites (“Effective Date”), whichever is earlier.
  3. Limited Right to Access the Websites. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Website. You understand you may not copy, modify, or otherwise create derivative works of the Websites.
  4. Content You Share. Any communications or material of any kind that you email or otherwise transmit to us using the Websites, including data, questions, comments, or suggestions (your “Communications”) will become the property of HumaTek. You hereby give us perpetual, worldwide, irrevocable rights to use any ideas, concepts, know-how, or techniques contained in your Communications for any purpose including, but not limited to, developing and marketing products using such information. You understand any such content you share within such Communications will not be kept confidential.
  5. Usage Restrictions. You agree to the following rules and restrictions when using the Websites and understand we may prohibit further use of the Websites or take legal actions if you fail to do so:
    1. To comply with applicable laws when using the Websites;
    2. Not use the Websites in a way that harms, infringes upon the rights of, or exposes liability to others;
    3. Not access the Websites to build a similar or competitive website;
    4. Not use the Websites in any manner that could disable, overburden, damage, or impair the site or interfere with any other party’s use of the Websites, including their ability to engage in real time activities through the Websites;
    5. Not use any robot, spider, or other automatic device, process, or means to access the Websites for any purpose, including monitoring or copying any of the material on the Websites;
    6. Not use any manual process to monitor or copy any of the material on the Websites, or for any other purpose not expressly authorized in these Terms, without our prior written consent;
    7. Not use any device, software, or routine that interferes with the proper working of the Websites;
    8. Not introduce any viruses, Trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful;
    9. Not attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Websites or its infrastructure or otherwise attempt to interfere with or impair the Websites; and
  6. Electronic Signatures. You agree to be bound by any affirmance, assent, or agreement you transmit to us using the Websites, including but not limited to any consent you give to receive communications from the HumaTek solely through electronic transmission. You agree that, when in the future you click on an “I agree,” “I consent” or other similarly worded button or entry field in the Application, your agreement or consent will be legally binding and enforceable and the legal equivalent of your handwritten signature.  Furthermore, you hereby waive any rights or requirements under any laws or regulations in any jurisdiction that require an original (non-electronic) signature or delivery or retention of non-electronic records, to the extent permitted under applicable law.
  7. Hyperlinks. The Websites may contain links to other sites. HumaTek does not control such other sites, and HumaTek and its affiliates and agents make no representations whatsoever concerning the content, accuracy, security or privacy of those sites. The fact that HumaTek has provided a link to a site is not an endorsement, authorization, sponsorship, or affiliation with respect to such site, its owners or its providers. There are risks in using any information, software, or products found on the Internet, and we caution you to make sure you understand these risks before retrieving, using, relying upon, or purchasing anything via the Internet. You agree that under no circumstances will you hold HumaTek or its affiliates or agents liable for any loss or damage caused by use of or reliance on any content, goods, or services available on other sites.
  8. Privacy. You agree the Websites are subject to personal data processing as described in our Privacy Policy, available at here,  which is incorporated by reference herein.
  9. Intellectual Property. You understand you don’t acquire any intellectual property rights or ownership in any content you access through the Websites. You understand you are prohibited from using any of the content on the Websites unless otherwise expressly agreed to by you and us in writing. If you believe any content on the Websites infringes on your copyrights or trademark rights, you may request we remove it by contacting us at info@humatek.io.
  10. Modifications. We reserve the right, in our sole discretion, to change, modify, add to, supplement or delete these Terms and Privacy Policy, and any and all referenced and/or incorporated exhibits or policies, programs and guidelines. We will post the updated terms to this page and may notify you of any material changes by email, but will not be liable for any failure to do so. If you don’t agree to any updates to these Terms or Privacy Policy, you must immediately stop accessing the Websites. Your continued use of the Websites following any modifications constitutes your complete and irrevocable acceptance of any and all such modifications.
  11. Suspension. In addition to any other remedies available, HumaTek may suspend or block your access to the Websites for any reason, in its sole discretion, including but not limited to because: (i) you have failed to comply with or violated any Terms; (ii) as required by law enforcement or in response to an investigation; (iii) due to technical issues; and (iv) for any other reason in its sole discretion.
  12. Indemnification. You agree to indemnify, defend, and hold harmless HumaTek from any and all third party claims and liability arising out of: (i) any content, Communications including any data, you submit to us; (ii) your use of the Websites; and (ii) your breach of the Terms .
  13. No Warranties; Disclaimers. TO THE MAXIMUM EXTENT PERMITTED BY LAW, HUMATEK MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY OR OTHERWISE, AND SPECIFICALLY DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING WITHOUT LIMITATION ANY WARRANTIES OF TITLE, NON-INFRINGEMENT, MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE WITH RESPECT TO THE WEBSITES. HUMATEK DOES NOT WARRANT THAT YOUR USE OF THE WEBSITES WILL BE SECURE, TIMELY, ERROR-FREE OR UNINTERRUPTED, OR THAT THE WEBSITES ARE OR WILL REMAIN UPDATED, COMPLETE OR CORRECT, OR THAT THE WEBSITES WILL MEET YOUR NEEDS OR BE UNINTERRUPTED OR FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS. THE WEBSITES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS AND SOLELY FOR YOUR USE IN ACCORDANCE WITH THIS AGREEMENT.  FOR THE PURPOSES OF THIS SECTION AND THE LIABILITY SECTION BELOW, ALL REFERENCES TO HUMATEK INCLUDE ITS AFFILIATES, AGENTS, DIRECTORS, OFFICERS, SERVICE PROVIDERS AND OTHERS ENGAGED IN THE PROVISION OF THE WEBSITES.
  14. Liability. TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL HUMATEK, COLLECTIVELY, FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE TERMS, WHETHER IN CONTRACT, TORT OR OTHERWISE, EXCEED THE FEES PAID PRECEDING THE DATE OF THE INCIDENT OR $50. MULTIPLE CLAIMS WILL NOT EXPAND THIS LIMITATION OF LIABILITY. IN NO EVENT WILL HUMATEK HAVE ANY LIABILITY FOR ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, HOWEVER CAUSED, OR FOR ANY LOST PROFITS, LOSS OF USE, DATA OR OPPORTUNITIES, COST OF DATA RECONSTRUCTION, COST OR PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES OR WEBSITES, WHETHER IN CONTRACT, TORT OR OTHERWISE, ARISING OUT OF, OR IN ANY WAY CONNECTED WITH THE WEBSITES OR THIRD PARTY OFFERINGS, INCLUDING BUT NOT LIMITED TO THE USE OR INABILITY TO USE THE WEBSITES, ANY INTERRUPTION, INACCURACY, ERROR OR OMISSION, EVEN IF HUMATEK, ITS LICENSORS OR SUBCONTRACTORS HAVE BEEN PREVIOUSLY ADVISED OF THE POSSIBILITY OF SUCH LOSS OR DAMAGES. THE FOREGOING EXCLUSIONS OR LIMITATIONS MAY NOT APPLY TO THE EXTENT PROHIBITED BY APPLICABLE LAW. THIS SECTION SHALL SURVIVE TERMINATION OF THESE TERMS OR YOUR ACCESS TO THE WEBSITES.
  15. No Waiver. Any failure of HumaTek to enforce or exercise a right provided in these Terms or the Privacy Policy is not a waiver of that right.
  16. Choice of Law. These Terms and the relationship between you and HumaTek shall be governed by the laws of the State of Florida without regard to its conflict of law provisions. You agree the exclusive jurisdiction for any claim or dispute under these Terms or use of the Websites, shall be in the courts located in Tampa, Florida and you agree to submit to the personal jurisdiction of such courts.
  17. Severability. Should any provision of these Terms be found invalid or unenforceable, the remaining terms shall still apply.
  18. Survival. The Suspension, Indemnification, Liability, choice of Law, Modification, Electronic Signatures, and any other sections reasonably intended to survive shall survive termination of these Terms or your access to the Websites.
  19. Assignment. HumaTek may assign these Terms and Policy in whole or part at any time.
  20. Entire Agreement. These Terms constitute the entire agreement between you and HumaTek concerning the subject matter herein and Website. These Terms supersede any and all previous or contemporaneous agreements, written or oral, between you and HumaTek, including previous versions of these Terms.
